Momentum Corporate Services Provider LLC is a licensed UAE business and corporate structuring consultancy. We facilitate documentation, estate planning coordination, and court registration. We are not a law firm and do not provide licensed legal advocacy. Where required, formal legal representation or court attestation is coordinated in direct conjunction with licensed UAE legal practitioners and court registrars.

Interpretation
Words with capitalised initial letters have specific meanings as defined below. These definitions apply equally whether they appear in singular or plural form.

- Affiliate: Any entity that controls, is controlled by, or is under common control with a party.
- Country: Refers to the United Arab Emirates (UAE).
- Company: (referred to as “the Company”, “we”, “us”, or “our”) refers to Momentum Corporate Services Provider LLC and its affiliates, associates, and related parties, operating in the United Arab Emirates.
- Device: Any device used to access the service, including computers, mobile phones, and digital tablets.
- Service: Refers to the website, Will drafting facilitation, estate structuring advisory, and corporate services provided by Momentum Corporate Services Provider LLC.
- Terms and Conditions: (also referred to as “Terms”) means this document, which constitutes the entire agreement between you and the Company regarding use of the Service.
- Website: Refers to Momentum Corporate Services Provider LLC, accessible at www.momentumsetup.ae.
- You: Means the individual or legal entity accessing or using the Service.
1. Scope of Services and Engagement
1.1 General Services
Momentum Corporate Services Provider LLC offers facilitation and consultancy services tailored to your business and succession needs. The nature, scope, and timeline of services will be confirmed through formal proposals, pro forma invoices, or written agreements. Where applicable, these services may involve dealings with third-party providers or government entities.
Our services also extend to estate planning facilitation and Will drafting coordination. We are not a law firm and do not provide contentious legal advice. Estate planning services are offered in a consultancy capacity only and may involve referral to, or coordination with, licensed legal professionals and certified court registrars where required.
1.2 Third-Party Payment Handling
We may process payments to government bodies, court authorities (such as DIFC Courts, ADJD, or Dubai Courts), translation partners, or other third parties on your behalf as part of the service process. All such payments are made in accordance with the requirements of the subscribed service and do not imply our control over final decisions made by those third parties.
2. Our Rights and Responsibilities
2.1 Professional Conduct
We are committed to delivering services with reasonable care, diligence, and professionalism, in accordance with prevailing industry standards and applicable UAE laws.
2.2 Limitation of Liability
We shall not be held liable for any indirect, incidental, or consequential loss arising during service delivery, including but not limited to loss of business, profit, revenue, or reputation. Our liability is limited to the fees paid directly to us for the specific service in question and excludes matters beyond our control, such as third-party decisions, court registrar schedule revisions, or government delays.
2.3 Information Accuracy
We ensure that clients receive clear and current information at the time of engagement, including procedural requirements and anticipated timelines. However, we do not control external regulatory or statutory changes that may subsequently impact these.
2.4 Third-Party Changes
We are not responsible for changes in third-party pricing, processing times, or policies (including court fees or statutory attestation changes) that occur after the service agreement has commenced.
3. Client Obligations
3.1 Provision of Accurate Information
Clients must provide accurate, complete, and up-to-date documentation and information required for Will drafting, corporate registration, or attestation. Any delays or complications arising from inaccurate or incomplete client data are the sole responsibility of the Client.
3.2 Timely Cooperation
Clients agree to attend scheduled virtual or in-person court attestation sessions, provide requested identification (Emirates ID, passport copies, title deeds, marriage certificates), and sign documents in a timely manner.
3.3 Compliance with UAE Laws
The Client agrees that all assets, companies, and declarations submitted comply fully with UAE Federal laws, AML/CFT (Anti-Money Laundering and Countering Financing of Terrorism) regulations, and court rules.
4. Payments, Fees, and Invoicing
All fees quoted for drafting and consultancy services must be settled according to the agreed payment terms prior to final court submission. Official government and court registration fees are separate statutory disbursements unless explicitly stated as an inclusive package in your pro forma invoice.
5. Confidentiality & Data Security
Both parties agree to treat all personal, financial, and testamentary information disclosed during the engagement as strictly confidential, adhering to UAE Data Protection standards.
6. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable Federal laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts in Dubai, UAE.
